Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Praevidense platform operated by VOTAN TEC LTD, a company registered in Cyprus (registration number HE 451931) (“Praevidense”, “we”, “us”). By accessing the Service or creating an account, the customer entity (“Customer”, “you”) agrees to these Terms. This is a business-to-business Service; it is not offered to consumers.
1. Definitions
- Service — the Praevidense AML monitoring, chargeback prediction, and Public API offerings.
- API Keys — credentials issued to authenticate requests to the Public API.
- Customer Data — transaction and account data you submit to the Service.
2. The Service
Praevidense provides real-time AML transaction monitoring, sanctions screening, chargeback prediction scoring, and a Public API for programmatic access. The Service produces risk signals and decisions intended to support — not replace — your own compliance judgement and regulatory obligations.
3. Acceptable use
Praevidense knowingly serves high-risk verticals. You may use the Service for lawful payment-risk and compliance purposes only. You must not:
- Use the Service to facilitate money laundering, sanctions evasion, or fraud.
- Reverse-engineer, resell, or sublicense the Service except as permitted.
- Submit data you are not lawfully entitled to process.
- Exceed published rate limits or attempt to circumvent security controls.
4. API and keys
You are responsible for safeguarding your API Keys and for all activity under them. We may rotate, suspend, or revoke keys to protect the platform. Continued availability of any specific API endpoint is subject to versioning and deprecation notices.
5. Fees and billing
Fees combine a subscription component and a per-transaction usage component, as set out in your applicable order form. Fees are billed monthly and are due within 30 days of the invoice date. Unless stated otherwise, fees are exclusive of taxes.
6. Service levels
We target 99.95% intake availability for the transaction-ingestion path, measured as described in the applicable service-level documentation. Service levels, exclusions, and any service credits are governed by that documentation; nothing here constitutes a guarantee of uninterrupted or error-free operation.
7. Intellectual property
Praevidense and its licensors retain all rights in the Service, including software, models, and documentation. You retain all rights in Customer Data and grant us a limited licence to process it solely to provide the Service.
8. Warranties and disclaimers
Except as expressly stated, the Service is provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Risk scores and predictions are probabilistic and do not guarantee any outcome.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages. Each party’s aggregate liability is limited to the fees paid or payable for the Service in the 12 months preceding the claim.
10. Term and termination
These Terms run for the subscription term stated in your order form and renew per that order form. Either party may terminate for material breach not cured within 30 days. On termination, your right to access the Service ends; audit-archive obligations and retention described in the Privacy Policy survive.
11. Governing law
These Terms are governed by the laws of Cyprus, and the courts of Cyprus have exclusive jurisdiction, without regard to conflict-of-laws principles.
